Terms of Service

1. Acceptance of Terms

By downloading, accessing, or using the Duenly application (“App”), you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the App.

2. Description of the Service

Duenly is a productivity application designed to help users focus on a small set of tasks at a time. Features may include:

• Task card creation and management
• Task selection and prioritization ("Shuffle My Day")
• Focus mode for distraction-reduced work
• Optional AI-powered task assistance
• Feature request submission and community voting

Duenly is a productivity tool and is not medical or therapeutic software. It is not a substitute for professional medical advice, diagnosis, or treatment.

3. Free Trial and Subscriptions

Free Trial

• New users may receive a 3-day free trial where offered.
• The trial may include limits such as a maximum number of task cards and AI assists.
• The trial begins when an account is created and expires automatically.

Subscriptions

• Paid subscriptions may be offered on a monthly or yearly basis.
• Prices and plans are shown in the App Store at the time of purchase.
• Subscriptions are billed and managed by Apple through your App Store account.
• Subscriptions automatically renew unless canceled at least 24 hours before the renewal date.

Subscription Features

• Unlimited task cards
• Access to AI features within daily usage limits
• Task history and progress tracking
• Additional premium features as offered

4. Payments and Refunds

• All payments are processed by Apple through the App Store.
• Pricing may vary by region and currency.
• Refunds and billing issues are handled by Apple according to their policies.
• Duenly does not receive or store your payment card information.

5. User Accounts

You are responsible for:

• Maintaining the confidentiality of your account credentials
• All activity that occurs under your account
• Notifying us of any unauthorized access or security issues

6. Acceptable Use

You agree not to:

• Use the App for unlawful purposes
• Attempt to access systems or data without authorization
• Reverse engineer or disrupt the App except as permitted by law
• Transmit malicious code or abuse system resources
• Bypass or exploit feature or usage limits

7. AI Features

• AI-generated suggestions are provided "as is" and may be inaccurate or incomplete.
• You are responsible for how you use AI-generated outputs.
• AI features may be limited, modified, or discontinued at any time.

8. Feature Requests and User-Generated Content

Submitting Feature Requests

The App allows you to submit feature requests and vote on suggestions from other users. When you submit a feature request:

• Your submission becomes visible to other users of the App and to us.
• Other users can view and vote on your submission.
• You retain ownership of the content you submit, but you grant us a non-exclusive, worldwide, royalty-free license to use, display, reproduce, modify, and distribute your submission in connection with operating and improving the App.
• We may use submissions to guide development priorities, but we are not obligated to implement any feature request.

Content Guidelines

When submitting feature requests, you agree not to:

• Submit content that is unlawful, offensive, defamatory, or violates others' rights
• Include personal information, confidential information, or sensitive data
• Submit spam, promotional content, or duplicate requests
• Manipulate voting or attempt to artificially inflate vote counts

Moderation

• We reserve the right to review, moderate, edit, or remove any feature request at our discretion.
• Feature requests that violate these Terms or are inappropriate may be removed without notice.
• We may change the status of feature requests (e.g., "Under Review," "Planned," "Declined") at any time.
• Submitting a feature request does not guarantee that it will be implemented or create any obligation on our part.

No Compensation

You will not receive compensation for feature requests you submit. Any implemented features become part of the App and remain our property or the property of our licensors.

9. Privacy

Your use of the App is governed by our Privacy Policy, which explains how we collect and use information.

10. Account Deletion

You may delete your account through the App settings. Deleting your account may permanently remove your data, including any feature requests you have submitted. Deleting an account does not automatically cancel an active App Store subscription.

11. Intellectual Property

The App and its content, features, and functionality are owned by the operator of Duenly or its licensors and are protected by applicable intellectual property laws. Your submission of feature requests grants us the license described in Section 8, but does not transfer ownership of your submitted content to us.

12. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. THIS INCLUDES USER-GENERATED CONTENT SUCH AS FEATURE REQUESTS, WHICH ARE PROVIDED WITHOUT WARRANTY AND MAY BE INACCURATE, INCOMPLETE, OR INAPPROPRIATE.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DUENLY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, OR SPECIAL DAMAGES, INCLUDING LOSS OF DATA OR PROFITS, ARISING FROM YOUR USE OF OR INABILITY TO USE THE APP, INCLUDING ANY DAMAGES RELATED TO USER-GENERATED CONTENT OR FEATURE REQUESTS.

14. Changes to the Service or Terms

We may update the App or these Terms from time to time. Continued use of the App after changes means you accept the updated Terms.

15. Termination

We may suspend or terminate access to the App if you violate these Terms, abuse the service, submit inappropriate content, or if the App is discontinued.

16. Governing Law

These Terms are governed by the laws of the United States, without regard to conflict of law principles.

17. Severability

If any provision of these Terms is found unenforceable, the remaining provisions will remain in effect.

19. Entire Agreement
